End User License Agreement

This End User License Agreement (“Agreement”) is a legal contract between you (“you”, “Licensee”) and Archyvist (“we”, “us”, “Licensor”). By downloading, installing, or using Archyv (“the Software”), you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.

1. License Grant

Subject to your compliance with this Agreement and payment of applicable fees (or, during the evaluation period described in Section 1.3, no fee), we grant you a non-exclusive, non-transferable, revocable license to install and use the Software for your personal or business purposes.

1.1 Permitted Use

You may:

  • Install and activate the Software on the computers you own or control, up to the number of seats covered by your license (one seat per computer). Seats are purchased individually; your total seat count is the sum of all seats you have purchased, and you may buy additional seats at any time
  • Use the Software to process your own files or files you are authorized to process
  • Make a reasonable number of backup copies for your own use

1.2 Restrictions

You may not:

  • Distribute, sell, sublicense, rent, lease, or lend the Software
  • Reverse engineer, decompile, or disassemble the Software, except where such activity is expressly permitted by applicable law
  • Remove or alter any proprietary notices or labels on the Software
  • Use the Software to violate any law or third-party rights
  • Share, publish, or transfer your license key to any other person
  • Use the Software in a manner that exceeds the scope of this license

1.3 Evaluation License

The Software includes a free 14-day evaluation period that begins automatically the first time you launch the Software on a computer. During the evaluation period, we grant you a non-exclusive, non-transferable, revocable license to use the Software for evaluation, subject to the restrictions in Section 1.2 and all other terms of this Agreement. When the evaluation period ends, the Software’s processing features are disabled until you purchase and activate a license; your files are unaffected. The evaluation period is provided once per computer — reinstalling the Software does not restart it. We may modify or discontinue evaluation availability for future versions at any time.

2. License Key and Activation

Your license is delivered as a license key. Activation associates the key with the computer(s) on which the Software is installed, up to the permitted number of seats.

You are responsible for keeping your license key confidential. We may suspend or revoke licenses we reasonably believe to have been shared, fraudulently obtained, or used in violation of this Agreement.

If you change or replace a computer, you may deactivate the Software on that computer to free its seat. The license owner may also remove or reassign a seat — including from a device that can no longer run the Software (for example, a lost, failed, or wiped computer) — using the Software’s seat-management tools, after verifying ownership of the license. Freeing a seat makes it available for activation on another computer, up to the number of seats your license covers. Contact support@archyv.app if you need assistance.

3. Updates

The Software may check for and offer updates. Free updates within a major version are included with your license. Major version upgrades (e.g., version 2.0) may require a separate purchase or upgrade fee at our discretion.

Automatic update checks occur approximately once per day. We may issue critical updates (security or stability) and recommend you install them promptly.

4. Ownership and Intellectual Property

The Software is licensed, not sold. We and our licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you except as expressly set forth in this Agreement.

The Software incorporates third-party open-source components, each licensed under their respective terms. The complete list of third-party components and their licenses is included in the THIRD_PARTY_LICENSES notice distributed with the Software. Attributions are also viewable within the Software (Help → Acknowledgments) and online at archyv.app/acknowledgments.

5. Refunds

We offer a 14-day refund window from the date of purchase. To request a refund, contact support@archyv.app with your order details. Refunds are processed by our payment processor, Polar Software, Inc. (“Polar”). Once a refund is issued, your license is revoked and you must uninstall the Software.

6. Privacy

Your use of the Software is also governed by our Privacy Policy.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ARE RESPONSIBLE FOR MAINTAINING BACKUP COPIES OF YOUR DATA. THE SOFTWARE PROCESSES FILES IN PLACE; WE STRONGLY RECOMMEND WORKING ON COPIES OR MAINTAINING CURRENT BACKUPS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

9. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of this Agreement, your misuse of the Software, or your violation of any third-party rights.

10. Termination

This Agreement is effective until terminated. We may terminate it immediately if you breach any term. Upon termination, you must cease all use of the Software and delete all copies. The provisions of Sections 4, 7, 8, 9, and 12 survive termination.

11. Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations. The Software may not be exported, re-exported, or transferred to any country or person subject to applicable sanctions.

12. Governing Law and Disputes

This Agreement is governed by the laws of the Province of British Columbia, Canada, without regard to its conflict-of-laws principles. Any dispute arising from this Agreement will be resolved exclusively in the courts of British Columbia, Canada, and you consent to the jurisdiction of those courts.

If you are a consumer residing in a jurisdiction that grants you rights to bring proceedings in your local courts or under your local law, this section does not override those rights.

13. General

13.1 Entire Agreement

This Agreement, together with the Privacy Policy, is the entire agreement between you and us concerning the Software. It supersedes any prior agreements or communications.

13.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

13.3 Waiver

Our failure to enforce any right or provision is not a waiver of that right or provision.

13.4 Assignment

You may not assign this Agreement without our prior written consent. We may assign this Agreement freely.

13.5 Changes

We may update this Agreement. Material changes will be announced via the Website and within the Software. Continued use after changes constitutes acceptance.
